1 The per share purchase price will vary and will be equal to our NAV on each day that the New York Stock Exchange is open divided by the number of shares outstanding as of the end of business on such day after giving effect to any share purchases or redemptions effected on such day, plus applicable selling commissions and dealer manager fee up to 10% in the aggregate of the purchase price per share, which will initially be $9.00.
2 The redemption price per share for the share repurchase program on any business day will be our NAV per share for the respective class of common stock as calculated after the close of business on the day the request was made. Generally, we will pay redemption proceeds, less any applicable short-term trading fees, taxes, or other required withholdings, by the third business day following the redemption request day. Stockholders who redeem their shares within four months of purchasing them will be subject to a short-term trading fee of 2% of the aggregate NAV of the shares of common stock redeemed. We will limit shares redeemed during any calendar quarter to 5% of our NAV as of the last day of the previous calendar quarter, or approximately 20% of our NAV in any 12 month period. In addition, most of our assets will consist of properties that cannot be liquidated without compromising our ability to realize full value upon their disposition, and therefore, we may not have enough funds to satisfy all repurchase requests. Our board of directors may choose to terminate, suspend or modify our share repurchase program at any time. More information can be found in the Prospectus.
3 Distributions are not guaranteed. We may not be able to pay or maintain distributions and they are subject to change at any time. Until we generate operating cash flows sufficient to pay distributions, we may pay distributions from the net proceeds of our offering, from our borrowings, or from other sources. Payment of fees to our advisor as well as the payment of operating expenses will reduce cash available for distributions.
4 Suitability requirements will differ in certain states, including, but not limited to, AL, CA, IA, KS, KY, MA, ME, MI, MO, ND, NE, OH, OR, PA, TN, TX and WA. (For additional information, please consult the current Prospectus.)
